THE SILICON VALLEY OVERLAND ROBOTICS ASSOCIATION

A California Unincorporated Association

 

I. NAME

The name of this Association is THE SILICON VALLEY OVERLAND ROBOTICS ASSOCIATION.

II. PURPOSES AND POWERS

This Association is a mutual benefit nonprofit association established pursuant to California Revenue and Taxation Code Section 2370 1(0 and Internal Revenue Code Section 501(c)(7). The purpose of this Association is to engage in any lawful act or activity for which an association may be organized under such laws.

The specific purpose of the Association is to provide facilities and support for research and development in the field of mobile robotics technology.

 

III. PRINCIPAL OFFICE

The principal office of the Association for the transaction of its business will be located in Menlo Park, California, unless and until the Directors designate another location.

 

IV. GOVERNING BODY

(a) The powers of this Association shall be exercised, its property controlled, and its affairs conducted by a Board of Directors.

(b) The founding directors of the Association shall be John Nagle, of Menlo Park, California, and Bruce Baumgart, of Los Gatos, California.

(c) The qualifications, time and manner of electing, the terms of office, the duties and compensation, if any, and the manner of removing Directors and filling vacancies shall be as set forth in the Bylaws of this Association.

 

V. MEMBERS

This Association shall have no members.

 

VI. DISSOLUTION

Upon the dissolution of the Association, the Board of Directors shall, after paying or making provision for the payment of all of the liabilities of the Association, dispose of all the assets of the Association exclusively for the purposes of the Association in such manner, or to such organization or organizations organized and operated exclusively for charitable, educational, religious or scientific purposes or civic leagues or social welfare organizations as shall at the time qualify as an exempt organized under Internal Revenue Code Section 501 (c)(4) as the Board of Directors shall determine. Any such assets not so disposed of shall be disposed on by the Superior Court of the County in which the principal office of the Association is then located, exclusively for such purposes or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purposes.

 

VII. ARTICLES OF ASSOCIATION

These Articles of Association shall be amended only by resolution duly adopted by a 2/3 majority of the Directors of the Association.
